These Terms of Service (“Terms”) govern access to and use of the Top Prospect platform at topprospect.net (the “Service”), operated by ARIA INTELLIGENCE PTE. LTD. (“Top Prospect,” “we,” “us”). By creating an account or using the Service, the entity you represent (“Customer,” “you”) agrees to these Terms.
1. Eligibility — Business Customers Only
The Service is offered exclusively to businesses, sole proprietors acting in a business capacity, and other organizations. The Service is not offered to consumers acting for personal, family, or household purposes. By registering, you represent that you are acting in a business capacity, are at least 18 years old, and have authority to bind the entity on whose behalf you register.
2. Description of the Service
Top Prospect allows a Customer to connect its own authorized Telegram account, deliberately select groups, supergroups, or channels available to that account, configure keyword and semantic rules, and review messages that match those rules. Results can include source and time information, original message context, automated summaries or assessments, ranking information, and suggested review or follow-up actions.
Top Prospect does not supply, broker, or recommend access to Telegram sources. Customer is responsible for the sources it selects and for having the right and lawful basis to access, monitor, and use information from them.
A match, score, summary, or suggested action is a candidate for human review, not certification of identity, authority, facts, buying intent, or a commercial opportunity. The Service does not independently decide to contact any person or initiate outreach. Customer decides whether and how to verify or follow up and is responsible for every user-initiated contact action.
3. Customer Responsibilities and Prohibited Uses
By using the Service, Customer represents, warrants, and agrees that it will:
- comply with Telegram's terms and applicable platform rules;
- comply with applicable data-protection, anti-spam, electronic-communications, consumer-protection, sanctions, and other laws in each relevant jurisdiction;
- have an appropriate right and lawful basis before processing source data or contacting a person identified through the Service; and
- be responsible for its source selection, configurations, human review, outreach decisions, and the content and manner of any contact.
Customer will not use the Service to:
- access or monitor a source it does not have a good-faith lawful right to access;
- stalk, harass, intimidate, or unlawfully surveil a person;
- impersonate a person or entity, or engage in deceptive or fraudulent solicitation;
- target, identify, or profile minors;
- intentionally target special-category personal data, such as health, religious, or political information;
- engage in unlawful discrimination;
- violate intellectual-property, publicity, privacy, or other rights; or
- facilitate fraud, financial crime, unlawful goods or services, or another illegal purpose.
We may suspend or terminate access for a material violation of this Section. Refund eligibility, if any, is determined under the Refund Policy and applicable mandatory law.
4. Data Processing
Our Privacy Policy explains how we handle customer and website data. To the extent Top Prospect processes connected-source personal data on Customer's behalf, the Data Processing Agreement is incorporated into these Terms. For that data, Customer is the controller and Top Prospect is the processor.
5. Accounts
Customer is responsible for maintaining the confidentiality of login and connection credentials and for activity occurring under its account. Customer must provide accurate account information and notify us promptly of suspected unauthorized use. Customer must not send us wallet private keys, seed phrases, or Telegram session secrets through ordinary support channels.
6. Monitoring Seats, Credits, and Billing
- Free Trial. New Customers may receive a seven-day trial covering one connected Telegram source and 3,000 trial credits, as described on the pricing page. If no seat is purchased, monitoring pauses when the trial ends; existing results remain available subject to the current data-retention and deletion terms.
- Monitoring Seats. Each paid seat can be bound to one connected source and includes 2,000 granted credits per billing cycle. Multiple rules on the same source share the seat, while each qualifying AI analysis consumes credits independently. Seat fees are paid in advance for the selected monthly or annual term.
- Granted Credits. Credits included with an active seat reset at the end of its billing cycle and do not roll over, carry cash value, or qualify for a separate refund.
- Purchased Credits. Additional credits may be purchased in one-time packs at the rates published on the pricing page. Purchased credits do not expire, remain in the account after a seat ends, and are consumed only after available granted credits.
- Manual Renewal. Seats do not renew or charge automatically. Customer must create and pay a new order before expiry to continue monitoring. If a seat expires, its source binding is retained for 30 days before release.
- Payment. Self-service orders are paid manually in USDT using a network displayed at checkout. Customer is responsible for selecting the correct network, address, asset, and amount and for paying wallet or network fees.
- Taxes. Fees are exclusive of applicable taxes except where we are required to collect them.
- Future pricing. We may change future prices or credit rates. A change does not alter the recorded amount of credits already purchased and applies only to a later order or renewal.
7. Refunds
Refunds are governed by the Refund Policy, which forms part of these Terms.
8. Intellectual Property and Customer Content
Top Prospect retains its rights in the Service, including its software, product design, models, documentation, and site content. Subject to these Terms, we grant Customer a limited, non-exclusive, non-transferable right to access and use the Service during the applicable trial or paid term for Customer's internal business purposes.
Customer retains its rights in the data and configurations it supplies. Customer grants Top Prospect a limited right to host, process, reproduce, and transmit that material only as needed to provide, secure, troubleshoot, and support the Service and comply with law. Customer represents that it has the rights needed to give those instructions.
9. Telegram Platform Dependency
The Service depends on Telegram systems and interfaces that we do not control. Telegram may change, restrict, rate-limit, or suspend access. We do not guarantee continued availability of any Telegram feature or source. A Telegram restriction does not by itself create a refund right, except as stated in the Refund Policy or required by mandatory law.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AUTOMATED ASSESSMENTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR A PARTICULAR DECISION. CUSTOMER MUST REVIEW SOURCE CONTEXT AND VERIFY FACTS BEFORE ACTING.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOP PROSPECT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. TOP PROSPECT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR CUSTOMER'S DECISION TO CONTACT, NOT CONTACT, OR OTHERWISE ACT ON A CANDIDATE SIGNAL. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LEGALLY BE EXCLUDED.
12. Indemnification
Customer will indemnify, defend, and hold harmless Top Prospect and its officers, employees, and affiliates from a third-party claim, liability, damage, or reasonable expense arising from Customer's unlawful source access, prohibited use under Section 3, lack of a lawful basis, or outreach conducted by Customer, except to the extent the claim was caused by Top Prospect's breach of these Terms or applicable law.
13. Suspension and Termination
We may suspend or terminate access where we reasonably believe Customer materially violated these Terms, created a legal or security risk, failed to pay an order, or where Telegram or law requires us to do so. Because seats renew manually, Customer may stop using the Service by not placing a renewal order. Access to paid monitoring continues through the paid term unless it is suspended for cause. Data handling after termination is governed by the Privacy Policy and, where applicable, the DPA.
14. Governing Law and Disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Disputes will be resolved in the courts of Singapore, except that either party may seek injunctive relief in a court of competent jurisdiction. Mandatory rights that cannot be waived remain unaffected.
15. Changes to These Terms
We may update these Terms to reflect changes in the Service, business terms, or law. The effective date and last-updated date appear at the top of this page. Material changes may also be communicated by email or an in-product notice where appropriate or required. Changes apply prospectively from the displayed effective date.
16. General Provisions
Force Majeure: Neither party is liable for a failure or delay, excluding payment obligations, caused by an event beyond its reasonable control, including internet or telecommunications failures, Telegram changes, government action, or natural disaster.
Severability: If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions remain in effect.
Entire Agreement: These Terms, the Privacy Policy, DPA, Refund Policy, and an applicable order constitute the agreement regarding the Service and supersede prior statements on the same subject.
Assignment: Customer may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of relevant assets, subject to applicable notice requirements.
No Waiver: A failure to enforce a provision is not a waiver of the right to enforce it later.
Notices: Notices to Customer may be sent to the account email address or through the Service. Notices to Top Prospect should be sent to [email protected].
Survival: Provisions that by their nature should survive termination, including Sections 3, 8, 10, 11, 12, 14, and this Section 16, survive.
